Terms of Service

These draft terms describe use of ScoutLedger, an evidence-first procurement-intelligence service for food-service operators and vendors.

Effective date: [Owner to provide effective date]

Contracting entity: [Owner to provide legal entity name]

1. Agreement and service

By creating an account or using ScoutLedger, you agree to these terms as completed by the owner. If you use ScoutLedger for an organization, you represent that you can bind that organization. Owner-supplied legal entity, effective-date, and contracting-party details are required before these draft terms are final.

2. Accounts and profile responsibility

Keep account credentials secure and provide accurate, current business-profile information. You are responsible for activity under your account and for notifying the owner of suspected unauthorized access. ScoutLedger may require account or access checks to protect the workspace.

3. Workspace use and procurement intelligence

Use ScoutLedger for lawful business research and internal procurement workflows. Do not misuse the service, attempt unauthorized access, interfere with its operation, or use automated activity in a way that harms the service or its sources.

ScoutLedger presents source-backed results as decision support. Results may be incomplete, delayed, changed by the original source, or unavailable. ScoutLedger does not promise completeness, accuracy, an award, a contract, or any particular business outcome. Review the primary source and apply your own diligence before acting.

4. Subscription and billing

The current product flow presents the applicable ScoutLedger pricing. Stripe processes checkout, and workspace access depends on confirmed billing status. Billing changes are handled through the existing customer portal. The owner must supply the final renewal, refund, tax, cancellation, and other billing terms: [Owner to provide subscription billing terms].

5. Customer data and intellectual property

You remain responsible for the business information and other content you submit or save in the workspace. ScoutLedger provides the service, its interface, its software, and its procurement-intelligence presentation. The owner must supply the final ownership, license, feedback, and permitted-use terms: [Owner to provide customer-content and platform-IP terms].

6. Third-party services

ScoutLedger depends on third-party services for functions such as payment processing, email delivery, AI-assisted processing, and web search where enabled. Their own terms and policies may apply. The owner should add the final provider names, notices, subprocessors, and allocation of responsibility before publication.

7. Availability and disclaimers

The service and source data may change or be unavailable. Except where law requires otherwise, the owner should state the final warranty disclaimers, service commitments, and limitations that apply: [Owner to provide availability and warranty language].

8. Liability, suspension, and termination

The owner must provide the final limits of liability, exclusions, suspension grounds, termination rights, effects of termination, and any required notice periods: [Owner to provide liability, suspension, and termination terms].

9. Changes, governing law, and contact

The owner must define how changes to these terms are announced and identify the governing law and jurisdiction: [Owner to provide change-notice, governing-law, and jurisdiction terms].
